The e39 is heavier, more complex, more luxurious, and lacks the steering feel of the e34. It also has its share of electronic gremlins which are a huge pain in the ass. Its far better for long trips at higher rates of speed.

I will say that the E39 is more refined and rides more luxuriously, but they are known to have quite a few electrical gremlins (much more than the E34). Good luck with whatever you buy.
